We are looking for an experienced VP Legal (General Counsel) to join our growing team. Your role is to manage the governance and regulatory matters to support the Board and Senior Leadership team. You will bring your expertise to provide high quality legal and commercial advice across the business, including being responsible for corporate governance, managing and overseeing the compliance activity and bringing a commercial perspective to the management of risk and reputation across the business. The role includes a wide variety of work including major projects (including M&A and other corporate activities), outsourcing, complex multi-million-pound contracts (both in the UK and internationally), IPR & IT matters, regulatory & data protection, property and general ad hoc legal advice, and oversight of external counsel as required.

The role holder will lead an established legal function that works right at the heart of the organisation. This is a high-profile role in this successful, dynamic and growing business and is pivotal to driving the business forward.
The Company

Medical imaging helps patients by enabling early and accurate diagnosis. However, 2D X-rays can be inconclusive as they give a fundamentally limited view of our 3D bodies. 3D images are possible with CT scanners but these are much more expensive, give a high dose of radiation and moving a critically ill patient to a scanner can be labour-intensive and risky.

At Adaptix we are helping make 3D imaging more accessible to the people who need it by producing mobile flat-panel X-ray systems that can be brought to patients giving low-cost, low-dose imaging.
Candidate Profile

As our ideal candidate, you will be an exceptional professional, managing your work activities with integrity and discretion whilst being able to roll your sleeves up and not only lead the Legal function but also get deeply involved in the negotiation and execution of commercial contracts.

You will need to provide pragmatic advice whilst maintaining company values and ethics in all aspects of your work. You must be able to work effectively with all other related disciplines in a high-growth and demanding environment.

This is a role that is highly visible and, as such, requires someone who is self-motivated, responsible and highly driven to deliver outstanding results for the company.

Experience of working for a scale-up organisation in either the UK or the US will be a distinct advantage.
Key Responsibilities Main duties and responsibilities
The VP Legal plays a key role in the Senior Leadership Team challenging, coaching and supporting across the company, providing expert and strategic advice to executives, non-executives and employees on all legal matters. They provide oversight and leadership to the Adaptix legal function, promoting the vision of the business and setting its culture and standards.

The VP Legal and the legal team are responsible for:

• Liaising with, and managing the relationship with, external lawyers to obtain appropriate legal advice and counsel as required
• Providing all required support & resource across all legal and IP matters (including trademarks and copyrights)
• Anticipating issues, identifying and implementing proactive strategic plans and solutions that will eliminate or mitigate risks across the company
• Working with colleagues and external partners to negotiate, draft and execute agreements that minimise risk and maximise legal rights including employment, IT, insurance, real estate, customer, vendor & third party contracts
• Assisting with preparations for flotation, investments, M&A and other collaborations, partnerships and JVs
• Overseeing pre-litigation work, working with external lawyers as necessary
• Reviewing the company’s obligations to ensure compliance with legislation, e.g. GDPR, UK Bribery Act, US FCPA
• Ensuring compliance with all Company Secretarial matters including share based schemes (EIS, EMI, VCT) and Companies House filing requirements
• Responsibility for maintaining sufficient insurance contracts to support anticipated levels of business growth and commercial developments

Experience

• Senior legal management leadership in a mid-sized company
• Detailed knowledge of the specific laws and regulations applicable to Adaptix
• Detailed knowledge of local law within the United Kingdom
• IP management and law
• AIM or full UK or US listing (desired)
• Working within a medical device company or other highly regulated industry (desired)
